Terms of Service
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," "your") and EarlyHub Ltd, a company incorporated under the laws of the Federal Republic of Nigeria ("EarlyHub," "we," "us," "our"), trading as EarlyPay ("EarlyPay," the "Platform," or the "Service").
EarlyHub Ltd's registered office is at: No. 15, Unguwa Uku Zaria Road, Along Unguwa Uku Motor Park, Kano State, Nigeria.
By registering for, accessing, or using EarlyPay — including our website, mobile application, USSD channel, or API — you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.
To use EarlyPay, you must:
We reserve the right to refuse registration or suspend an account where eligibility cannot be verified.
4.1 You are responsible for maintaining the confidentiality of your login credentials, PIN, and One-Time Passwords (OTPs). EarlyPay staff will never ask you for your password, PIN, or OTP — do not share these with anyone, including anyone claiming to be from EarlyPay.
4.2 You must notify us immediately at support@earlypay.ng if you suspect unauthorized access to your account.
4.3 You agree to provide accurate KYC information, including BVN and/or NIN where required. We reserve the right to limit account functionality (transaction limits, wallet balance caps) based on your KYC tier, in line with CBN's tiered KYC framework.
4.4 We may request additional documentation at any time to verify your identity or the source of funds, consistent with our obligations under the Money Laundering (Prevention and Prohibition) Act 2022 and CBN AML/CFT guidelines.
4.5 One EarlyPay account per individual/entity is permitted unless otherwise authorized in writing.
EarlyPay enables users to:
We act as a technology platform facilitating these transactions and, in relation to certain services, may act as an agent or reseller of licensed third-party providers (telecom operators, DISCOs, cable providers, payment processors, and CAC-accredited agents).
6.1 You may fund your EarlyPay wallet via bank transfer, card payment, USSD, or other supported channels processed through our licensed payment partners.
6.2 Your wallet balance does not constitute a bank deposit and does not earn interest. It represents stored value redeemable solely for EarlyPay Services.
6.3 EarlyPay is not a deposit-taking institution licensed by the CBN as a bank. Wallet balances are held in trust/pooled accounts with our licensed payment/settlement partners in accordance with applicable CBN guidelines.
6.4 You are responsible for ensuring that payment instruments (cards, bank accounts) used to fund your wallet belong to you or that you are authorized to use them.
7.1 We may charge service fees, convenience fees, or transaction charges as displayed at the point of transaction before you confirm payment. Fees may vary by service type, payment channel, or promotional period.
7.2 We reserve the right to change our fees at any time. Material changes will be communicated in advance where required by law.
7.3 Third-party charges (e.g. bank transfer fees, card processing fees) are outside our control and may apply in addition to EarlyPay's fees.
8.1 Most Services (airtime, data, electricity tokens, cable TV, exam pins) are processed and delivered instantly or near-instantly upon successful payment confirmation.
8.2 Once a transaction has been successfully completed and the value (airtime, token, subscription) delivered to the recipient, it is final and non-reversible, except where required by law or where EarlyPay determines, at its sole discretion, that a service failure occurred on our end.
8.3 If a transaction fails after your account has been debited, the amount will ordinarily be automatically reversed to your wallet within a reasonable time. If this does not occur, contact support@earlypay.ng with your transaction reference.
8.4 You are solely responsible for verifying recipient details (phone number, meter number, smartcard number, etc.) before confirming a transaction. EarlyPay is not liable for value delivered to an incorrect recipient due to your error.
8.5 EarlyPay reserves the right to delay, decline, or reverse any transaction it reasonably suspects to be fraudulent, erroneous, or in violation of these Terms or applicable law.
9.1 Where you use EarlyPay to facilitate business name or company registration with the Corporate Affairs Commission (CAC), you authorize EarlyPay (directly or through its accredited agents) to submit your information and documents to the CAC on your behalf.
9.2 You are responsible for the accuracy of all information and documents you provide for this purpose. EarlyPay is not responsible for delays, rejections, or errors arising from inaccurate information supplied by you or from CAC's own processing timelines and requirements, which are outside our control.
9.3 CAC registration fees and EarlyPay's service fees for this facilitation will be disclosed to you before you confirm the request.
You agree that you will not:
Violation of this Section may result in immediate suspension or termination of your account, forfeiture of wallet balance pending investigation, and reporting to relevant law enforcement or regulatory authorities, including the Economic and Financial Crimes Commission (EFCC) and the Nigerian Financial Intelligence Unit (NFIU).
All content, trademarks, logos, software, and materials on the Platform (including the "EarlyPay" name and logo) are the property of EarlyHub Ltd or its licensors and are protected by Nigerian and international intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of the Platform without our prior written consent.
The Platform integrates with third-party service providers (telecom networks, DISCOs, cable TV operators, examination bodies, banks, and payment processors). We are not responsible for outages, errors, or service failures caused solely by these third parties, though we will make reasonable efforts to assist in resolving such issues on your behalf.
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by Nigerian law, EarlyHub Ltd disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or completely secure.
To the fullest extent permitted by applicable Nigerian law:
14.1 EarlyHub Ltd shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
14.2 Our total aggregate liability to you for any claim arising from these Terms or your use of the Service shall not exceed the total fees paid by you to EarlyPay in the three (3) months preceding the event giving rise to the claim, except in cases of our gross negligence, wilful misconduct, or fraud, or where such limitation is prohibited by law.
14.3 Nothing in these Terms limits liability that cannot be excluded under Nigerian law, including liability for fraud or wilful misconduct.
You agree to indemnify and hold harmless EarlyHub Ltd, its directors, officers, employees, and agents from any claims, losses, liabilities, damages, and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your violation of any law or third-party right; or (c) your fraudulent or unauthorized use of the Platform.
16.1 We may suspend or terminate your account, with or without notice, where we reasonably believe you have violated these Terms, engaged in fraudulent or illegal activity, or where required by a regulator or law enforcement agency.
16.2 You may close your account at any time by contacting support@earlypay.ng, subject to the settlement of any pending transactions and our regulatory recordkeeping obligations.
16.3 Upon termination, any remaining wallet balance will be refunded to your verified bank account, less any applicable fees, subject to completion of any pending fraud or compliance review.
Our collection and use of your personal data is governed by our Privacy Policy, which forms part of these Terms by reference, and is issued in compliance with the Nigeria Data Protection Act 2023.
18.1 These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
18.2 In the event of a dispute, you agree to first contact our support team at support@earlypay.ng to seek an amicable resolution.
18.3 If a dispute cannot be resolved amicably within [Insert Number, e.g. 30] days, either party may refer the matter to arbitration in accordance with the Arbitration and Mediation Act 2023, seated in Kano State, Nigeria, with proceedings conducted in English. [Alternative: the parties submit to the exclusive jurisdiction of the courts of Kano State, Nigeria.]
(Choose one dispute-resolution mechanism with your lawyer — arbitration or court jurisdiction — and remove the other.)
We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including network outages, acts of God, government action, power failure, industrial action, or failures of third-party service providers.
We may revise these Terms from time to time. Material changes will be notified via email, in-app notice, or by posting the updated Terms on our website with a revised "Last Updated" date. Continued use of the Service after such changes constitutes your acceptance of the revised Terms.
If any provision of these Terms is found to be invalid or unenforceable under Nigerian law, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and EarlyHub Ltd regarding your use of EarlyPay, superseding any prior agreements.
